These Terms govern the relationship between OWN PAY LTD, a private limited company registered in England and Wales (company number 17313074) ("OWN PAY", "we"), and any client or visitor ("you") using the website http://localhost:3000 or purchasing our consulting services.
1. Acceptance of terms
By using this website, creating an account, submitting a contact request, or purchasing any service, you agree to be bound by these Terms and by our Privacy Policy. If you do not agree, do not use the website or purchase services.
2. Description of services
OWN PAY is a management and strategy consulting firm operating under SIC 70229 and SIC 70210. Services are organized in three tiers:
- Tier 1: Diagnostic and Advisory. One-off engagements: the Operational Diagnostic Snapshot, Stakeholder and Communications Audit, and Operational Alignment Workshop.
- Tier 2: Focused Engagements. One-off engagements: Business Process Optimization, Organizational Structure and Role Design, Communications Strategy Development, Performance Management and KPI Framework, and Internal Communications and Change Adoption Program.
- Tier 3: Programs and Retainers. Operational Excellence Sprint, Management Advisory Retainer (a monthly subscription), Stakeholder Engagement Sprint, and Operating Model Diagnostic and Roadmap.
Each service has a fixed price, listed on the Services page. If a client requires scope beyond the standard engagement, any add-on is agreed in writing before billable work begins.
3. Account
You may create an account to purchase services and access account features. You must keep credentials confidential and notify us immediately at support@ownpayltd.com if you suspect unauthorized use. You may delete your account at any time by contacting us.
4. User obligations
You agree not to:
- Use the site for unlawful purposes.
- Attempt to access systems or data you are not authorized to access.
- Use the site to transmit malware, conduct automated scraping, or interfere with site availability.
- Misrepresent yourself or the entity you represent.
5. Intellectual property
All site content, including text, design, code, and branding, is owned by OWN PAY LTD unless otherwise stated. Deliverables produced during an engagement transfer to the client on full payment, subject to any agreed reservations recorded in the engagement scope. We retain ownership of our methodologies, internal frameworks, and any reusable components developed independently of the engagement.
6. Payment terms
Payments are processed off-site by secserv.me on a secure hosted checkout page. Card payments are supported. By completing a purchase you agree to pay the listed price for the selected service, and to any additional fees agreed in writing in the engagement scope.
The Management Advisory Retainer is a monthly subscription, billed in advance for each monthly period.
Invoices for bespoke scope outside the productized offerings are issued by OWN PAY LTD and payable within the timeframe stated on the invoice, typically 14 days from issue.
7. Refunds
Refunds are governed by our Refund Policy. The Refund Policy forms part of these Terms.
8. Disclaimers
Consulting advice is based on information made available to us at the time of the engagement. We do not guarantee specific commercial outcomes. Decisions taken by the client based on our advice remain the client's responsibility.
The website is provided on an "as is" basis. We use reasonable efforts to keep it available and accurate but do not warrant uninterrupted availability.
9. Limitation of liability
To the extent permitted by law, our aggregate liability arising out of any engagement is limited to the fees paid by the client for that engagement. We are not liable for indirect, consequential, or punitive damages, or for loss of profit, business, or goodwill. Nothing in these Terms limits liability for fraud, gross negligence, or any liability that cannot lawfully be limited.
10. Confidentiality
Each party will keep the other party's confidential information confidential and use it only for the purposes of the engagement. Mutual non-disclosure agreements are signed before sensitive information is exchanged.
11. Termination
Either party may terminate an engagement for material breach not cured within 14 days of written notice. On termination, the client pays for work delivered up to the termination date. The Retainer subscription may be cancelled at any time and takes effect at the end of the then-current billing month.
12. Governing law
These Terms are governed by the laws of England and Wales. The courts of England and Wales have exclusive jurisdiction over any dispute, except where a mandatory consumer protection law of the client's country of residence requires otherwise.
